URSO is a technology platform and is not a bank. Certain features or components of the Services may be supported by third-party providers, partners, or service vendors.

  • (b) you are at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher;
  • (c) you have the legal capacity to enter into a binding agreement; and
  • (d) you satisfy any onboarding, identity verification, compliance, and eligibility requirements that we or our service providers may impose from time to time.

The Services may not be available in all jurisdictions, to all users, or for all use cases. We may limit, refuse, or discontinue access to the Services based on jurisdiction, risk, legal requirements, operational considerations, or internal compliance policies.

URSO provides a financial technology platform designed to support eligible users in accessing and managing a USD-denominated balance and related account experiences, subject to verification, operational availability, and applicable legal and compliance requirements.

The Services may include account onboarding, identity verification, access to balance information, transaction visibility, payment-related flows, and related digital experiences. Features may be introduced, modified, restricted, or discontinued at any time.

Nothing on the website or in the Services constitutes a promise that any specific feature will be available to any particular user at any particular time.

4. Account Registration

To access certain features, you may be required to create an account and provide accurate, current, and complete information. You agree to keep your information up to date.

You are responsible for:

  • (a) maintaining the confidentiality of your login credentials;
  • (b) restricting access to your account and devices; and
  • (c) all activities conducted through your account, whether or not authorized by you, unless and until you notify us of unauthorized use.

You acknowledge and agree that:

  • (a) any rates, prices, quotes, spreads, fees, limits, or availability may change at any time;
  • (b) displayed information may be time-sensitive;
  • (c) certain actions may depend on third-party provider availability, network conditions, banking rails, compliance checks, market conditions, or technical constraints; and
  • (d) not all transactions or requests will be completed, even if initiated.

URSO may earn revenue through service fees, spreads, partner arrangements, or other lawful commercial arrangements. Any applicable fee or pricing information made available in the product experience will govern the relevant action.

Certain parts of the Services may rely on or be enabled by third-party providers, including providers of identity verification, infrastructure, hosting, payments, security, analytics, communications, and operational support.

Your use of some features may therefore be subject to additional third-party terms, privacy practices, or operational requirements. We are not responsible for the acts, omissions, interruptions, delays, errors, or policies of third-party providers, except as required by applicable law.

We may replace, add, or remove service providers at any time.

  • (a) violates any law, regulation, court order, sanctions program, or legal requirement;

  • (f) exploit bugs, reverse engineer, scrape, probe, or interfere with the website, applications, APIs, or infrastructure;

Availability may be affected by maintenance, software updates, third-party provider outages, technical issues, compliance reviews, network congestion, banking delays, force majeure events, or other circumstances beyond our control.

We may modify, suspend, discontinue, or replace any aspect of the Services at any time.

13. No Financial, Legal, or Tax Advice

URSO does not provide financial, investment, legal, accounting, or tax advice. You are solely responsible for obtaining independent professional advice before making any decision based on your use of the Services.

14. Intellectual Property

All rights, title, and interest in and to the Services, including the website, applications, software, trademarks, branding, content, design, text, graphics, logos, and underlying technology, are owned by or licensed to Synaptyc LLC, unless otherwise stated.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

You may not copy, reproduce, modify, distribute, create derivative works from, reverse engineer, or exploit any part of the Services except as expressly permitted by us in writing or by applicable law.

15. Feedback

If you provide comments, suggestions, ideas, or feedback regarding the Services, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use, modify, implement, and exploit that feedback without restriction or compensation to you.

URSO disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

We do not guarantee that:

  • (a) the Services will always be available, secure, uninterrupted, or free from errors;
  • (b) any information displayed will always be complete, current, or error-free;
  • (c) any feature, provider, quote, or flow will remain available; or
  • (d) the Services will meet your expectations or requirements.

17. Limitation of Liability

To the maximum extent permitted by law, Synaptyc LLC and its affiliates, managers, officers, employees, contractors, agents, licensors, partners, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, opportunities, expected savings, data, or business interruption, arising out of or relating to your use of or inability to use the Services.

To the maximum extent permitted by law, the total aggregate liability of Synaptyc LLC arising out of or relating to the Services or these Terms shall not exceed the greater of:

  • (a) the amount of fees, if any, that you paid directly to URSO during the three (3) months preceding the event giving rise to the claim; or
  • (b) one hundred U.S. dollars (USD 100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless Synaptyc LLC and its affiliates, managers, officers, employees, contractors, agents, partners, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and fees, including reasonable attorneys' fees, arising out of or related to:

  • (a) your use of the Services;
  • (b) your violation of these Terms;
  • (c) your violation of any law, regulation, or rights of any third party; or
  • (d) any information or materials you submit through the Services.

19. Privacy

Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect information. By using the Services, you acknowledge that you have read and understood our Privacy Policy.

Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles, unless otherwise required by applicable law.

22. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved in the courts located in the State of Wyoming, United States, unless applicable law requires otherwise.

You agree to submit to the personal jurisdiction of those courts for the purpose of resolving such disputes.
